End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“You” or “User”) and Worker Biese, LLC (“Licensor,” “we,” or “us”) governing your use of the GetYourDue desktop software application (the “Software”).

BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of any applicable license fees, Worker Biese, LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a Windows-based computer solely for your internal business use.

2. License Restrictions

You may not:

• Copy, distribute, sublicense, sell, rent, lease, or lend the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Modify, adapt, or create derivative works based on the Software
• Use the Software to provide services to third parties without written permission
• Bypass, disable, or interfere with licensing, activation, or security mechanisms

3. Ownership

The Software is licensed, not sold. Worker Biese, LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you ownership of the Software.

4. License Activation and Machine Limitation

The Software may require license activation and may be limited to a specific machine or environment. License keys are non-transferable unless expressly authorized by Worker Biese, LLC.

We reserve the right to suspend or revoke a license if unauthorized use, duplication, or circumvention of licensing controls is detected.

5. Updates and Changes

Worker Biese, LLC may provide updates, patches, or enhancements to the Software. Any such updates are considered part of the Software and are governed by this Agreement, unless accompanied by a separate license.

6. Third-Party Services

The Software integrates with third-party services, including QuickBooks Online and a separate, third-party SMTP email service that you must provide.

Worker Biese, LLC does not provide email hosting or delivery services and is not responsible for third-party service availability, performance, or policy changes. Your use of third-party services is governed by their respective terms and policies.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKER BIESE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

9. Termination

This Agreement is effective until terminated. It will terminate automatically if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Worker Biese, LLC regarding the Software and supersedes all prior or contemporaneous agreements or understandings.
